PANDORA’S BOX
EVERYTHING GOT OUT. THE HOPE IS AT THE BOTTOM.
THE ONE-WAY DOOR
The public got the IPO. Insiders get August sixth
One hundred sixteen billion in SpaceX stock unfreezes next week. That is larger than the entire IPO from June.
The public bought SpaceX on June twelfth. It cost one hundred thirty five dollars a share. On August sixth the insiders get their turn.
Since June the stock has fallen from a peak of two hundred eleven to about one hundred fifteen. Everyone who bought at the offering is under water.
August sixth is a legal clock. It was built into the offering paperwork. On that day, insiders can sell shares they could not sell before. Nine hundred and eleven million of them.

SHARES ELIGIBLE TO TRADE ON AUGUST SIXTH
That tranche is larger than the entire IPO from June. The public bought about five percent of the company. Twenty percent of insider stock becomes tradeable in one day.
The public float is thin. About five percent of SpaceX trades. The release adds four times that on a single day.
Elon Musk is not on the list. His shares stay locked until the middle of 2027. The rest of the founding cohort can act on Wednesday.
Facebook lived through this in August of 2012. Two hundred and seventy one million shares came off restriction. The stock fell six percent to the low of its history.
That was the first. This one is thirty times larger. The mechanic does not go back.
EVERY LEAD PASSES BEFORE IT RUNS
The One-Way-Door Test
01
Can it be undone?
The date is contractual, and the paperwork is filed. Only a company statement or a court order could move it. Neither is on the calendar.
CLOSING
02
Who is already moving?
Early investors were calendared into this date from the prospectus. Employees who joined a decade ago hold newly liquid stock. Hedge funds built positions against the release. Traders watch daily volume for the tell.

03
What does being late cost?
Nearly half the stock has already come out. What is left depends on how many insiders sell on the day. The overhang runs through October and December, when the next tranches open.
PRICED
THE MOVE · WHILE THERE IS STILL TIME
Do not try to catch this before the sixth. On the eighth and ninth, watch the daily volume against the thirty-day average. A triple means insiders are cashing. Flat means they are holding.
The stock has front-loaded nearly half the fall. That does not mean the rest cannot arrive on one bad Monday. Watch volume, not price.
ALSO GOT LOOSE TODAY

Tim Cook led his ninetieth and last Apple earnings call last night. John Ternus takes the chair on September first. The stock closed six percent lower on next quarter guidance.
WORK

Amazon posted its fastest AWS quarter in eighteen quarters, up thirty seven percent. It hiked capex to two hundred and twenty billion. Meta and Microsoft are already on that number.
MONEY

Shell posted its best quarter since the start of the Ukraine war. Nine and a half billion, more than double last year. Oil prices lifted by the Iran fighting drove the number.

WHAT’S LEFT AT THE BOTTOM
Most people will read the after-hours red as another rough month for a new listing. You will read it as the largest legal supply release in market history, and file the lesson for the next big IPO.
